The distribution area is limited to Netherlands, Belgium and Luxembourg, as stipulated in this contract. The Hornetsecurity partner has the right to sell Hornetsecurity products and services to customers in his distribution area. The Hornetsecurity partner can purchase Hornetsecurity services through various Hornetsecurity-authorized distribution partners. The Hornetsecurity partner is acting on his own account and economic risk. Contracts about the product will be concluded between the Hornetsecurity partner and the end customer. §2 Identification Rights The Hornetsecurity partner shall have the right to identify itself as "authorized Hornetsecurity partner" and to use Hornetsecurity trademarks and service brands for sales activities. §3 Promotional Efforts Hornetsecurity shall conduct promotional campaign at its own discretion. §4 Pricing / Commissions The partner agreement shall not stipulate any membership or partner fees. The current prices for the Hornetsecurity partner derive from the Hornetsecurity customer price list minus the rebate of the respective partner status, as they are announced in the Hornetsecurity partner program. The partner is classified as previously selected in the form. Hornetsecurity shall have the right to modify the price at its own discretion. After notification of the partner, the modified price lists shall be part of this agreement. Both partners commit themselves to comply with the responsibilities according to the classification of the Hornetsecurity partner. §5 Exclusivity / Project Protection No exclusivity shall be granted. Project protection shall be granted for registered customers. In order to receive project protection, the partner must register the customer in the manner defined by Hornetsecurity. Project protection shall usually be granted for a time period of 90 days after registration with Hornetsecurity. Exceptions to this regulation can be mutually agreed on in individual cases between partner and Hornetsecurity. Project protection cannot be granted for customers, for whom project protection is already in place (e.g. through other partners). The partner can obtain the information, if a certain customer has project protection, at any given time. Improper use of project protection (e.g. large volumes registration of contact lists) shall result in the loss of project protection for the partner. §6 Effective Date / Duration / Terms of Notice The agreement shall commence for the term of 12 months. The contract shall be automatically extended by an additional year, if it has not been cancelled at the latest 3 months before its expiration in proper form. The right to terminate the contract for cause shall remain unaffected. Hornetsecurity shall reserve the right to termination and annulment of eventual claims for commission in the case that the Hornetsecurity partner cooperates with competitors. §7 Miscellaneous Hornetsecurity shall reserve the right to terminate the contract with end customers, who misuse the services, without notice. No ancillary agreements have been made. Any changes and amendments to this agreement shall be in writing. In the event that an individual provision of this agreement is be non-effective, all other provisions shall remain non-affected. The parties shall be obligated to replace this regulation by a provision, which is legally permissible and which shall come as close as possible to the original agreed upon provision. During the duration of this agreement and within 18 months after its termination it is not permitted to the Hornetsecurity partner to analyse any Hornetsecurity business or company secrets which have been revealed to him or of which he has gained knowledge of due to his activity according to this agreement, or to disclose them to a third party. The partner also has his employees sworn to secrecy in this regard. This agreement shall be governed by German law. Place of jurisdiction shall be district court Hannover.
